1. Terms of order
1.1. Ueshima Coffee Company (“UCC”, “we”, “us”) is a trading name of UCC Europe Limited, a company incorporated in England and Wales with company number: 08016911.

2. Application of these Terms
2.1. When you shop with us, these terms and conditions (together with our Privacy Notice www.ueshimacoffeecompany.com/pages/privacy-policy) shall apply to all orders you place and any purchases your make on this website you are purchasing as a consumer.
2.2. Please read these terms and conditions carefully and make sure that you understand them before placing your order. They do not affect your legal rights.
2.3. We may change these terms and conditions at any time. Any changes will take effect on the date they are posted on the site (please see date above).
2.4. No contract between you and UCC for the sale of any product will exist until we accept your order by email confirmation and we have provided further details of this process below. By providing payment details and placing an order you are bound to complete the sale unless agreed otherwise with UCC.
2.5. We retain the right to refuse any order which is deemed to have not been conducted in the correct way, fraudulent or other reason. We retain the right to not complete or cancel any order as long as no payment has been taken or a full refund has been provided.
2.6. This site is not intended for wholesale or resellers. Items cannot be purchased for resale unless agreed in advance by us.
3. Pricing and product descriptions
3.1. All prices are shown in pounds (£) sterling and include VAT, where applicable.
3.2. Prices for our products may change from time to time, but changes will not affect any order that has already been confirmed.
3.3. The price of a product excludes delivery charges. Our delivery charges are as quoted on our website from time to time and are dependent on the delivery method you choose at the time you place your order.
3.4. If we discover an error in the price of the products you have ordered we will inform you of this error and we will give you the option of continuing to purchase the product at the correct price or cancelling your order. We will not process your order until we have your instructions. If we are unable to contact you using the contact details you provided during the order process, we will treat the order as cancelled and notify you in writing.
3.5. The images of the products on our website are for illustrative purposes only. The products and the packaging of the products you receive may vary slightly from those images.
3.6. Any discount codes will be applied to the value of the order and excludes shipping costs. To qualify, the code must be entered and applied in the discount code field on the checkout page to be deducted from the order. Expiry dates as stated, and discounts can be amended or withdrawn at any time.
4. Payment
4.1. We accept orders from most major credit cards (excluding American Express), Apple Pay and Google Pay, processed through Shopify acting on our behalf.
4.2. All transactions on the site are processed through Shopify operating on our behalf.
4.3. After you placed an order, you may receive confirmation from us acknowledging that we have received and accepted your order.
4.4. If we are unable to supply you with a product, for example because that product is not in stock or no longer available or because of an error in the price or description on our website or because we are unable to obtain authorisation for your payment, we will inform you of this by e-mail as soon as possible and we will not process your order. If you have already paid for the products, we will refund you the full amount paid as soon as possible.
4.5. We may choose not to accept an order from you for any products.
5. Delivery
5.1. Delivery charges and timescales may vary depending on the delivery address and the delivery method you select when you submit an order to us. We are only able to accept orders from addresses in the UK (including Northern Ireland) and are unable to ship outside of the UK.
5.2. We will aim to deliver your products in accordance with the information set out on Shipping and Delivery page which can be found here: www.ueshimacoffeecompany.com/pages/delivery
5.3. Delivery will be completed when we deliver the products to the UK address you gave us.
5.4. UCC are responsible for the products until the point they are delivered to you. You are responsible for the products on delivery and will own the products once we have received your order payment in full.
5.5. Please check all products you receive against your order as soon as possible. If you discover that the products are damaged or faulty after delivery, you should let us know as soon as possible as your legal rights as a consumer vary depending on the time period in which you notify us.
6. Returns, errors and cancellations
6.1. You may return any goods that are faulty or misdescribed and we will offer you a refund in accordance with your statutory rights, which can be summarised here: www.citizensadvice.org.uk/about-us/how-citizens-advice-works/citizens-advice-consumer-work/the-consumer-rights-act-2015/.
6.2. If there has been an error with your order, please contact us at: orders@ueshimacoffeecompany.com within 28 days of your purchase quoting your order number.
6.3. The general right to cancel or return goods under the Consumer Contracts Regulations does not apply to perishable goods (such as coffee) unless faulty or damaged, so we regret that we are unable to allow you to cancel your order other than where we have not yet dispatched the goods – please see our deliveries page for further details (www.ueshimacoffeecompany.com/pages/delivery). Customers will need to cover the cost of return shipping. If a collection is required, this will be charged. Collections can be up to £15 per consignment.
7. Refunds and Exchanges
7.1. All refunds to which you are entitled shall be made to the method of payment on which the original purchase was made within 30 days of UCC receiving your request for a refund and (where requested) any proof that we ask you to provide that the goods are faulty or have been misdescribed.
7.2. Where goods have been faulty and/or misdescribed, we also reserve the right to offer a replacement item of similar or equal value.
8. Complaints & feedback
8.1 We always like to hear from you, especially if you feel we can do better. We will acknowledge all complaints within 5 working days. Once we receive a complaint, we will communicate how long it will take to resolve and will keep you informed throughout the process.
9. Intellectual Property
9.1. UCC owns or has permission to use any and all intellectual property rights in this Website including our content on it, as well as all UCC and Ueshima Coffee Company trade marks and other intellectual property rights (“Intellectual Property Rights”). All rights are reserved.
9.2. You are not permitted to reproduce, modify, copy, distribute or use for commercial purposes our Intellectual Property Rights without our prior written permission.
10. Events beyond our control
10.1. We may have to suspend performance of the contract between us if we are unable to perform our obligations due to any act, event or non-happening, omission or accident outside our reasonable control which includes:
10.1.1. Strikes, lock-outs or other industrial action by third parties;
10.1.2. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
10.1.3. Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster;
10.1.4. Failure of public or private telecommunications networks;
10.1.5. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
10.1.6. The acts, decrees, legislation, regulations or restrictions of any government; or
10.1.7. Any failure or service outage that falls outside our control.
10.2. We will contact you in advance to tell you we will be suspending supply of the product, unless the problem is urgent or an emergency in which case we will contact you as soon as reasonably possible. If we have to suspend delivery of the product for longer than 30 days beyond the estimated delivery date then unless you agree to the revised date you may contact us to end the contract and we will refund any sums you have paid in advance for the product in accordance with our refund policy. Where we do, we will have no further liability to you.
11. General
11.1. You may not transfer any of your rights or obligations under these terms and conditions to another person without our prior written consent. We can transfer all or any part of these terms and conditions to another organisation but your rights under these terms and conditions will not be affected.
11.2. Nobody else has any rights under this contract (except someone you pass your guarantee on to). This contract is between you and us. No other person shall have any rights to enforce any of its terms. Neither of us will need to get the agreement of any other person in order to end the contract or make any changes to these terms.
11.3. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
11.4. If any part of these terms is disallowed or held to be ineffective by any court or other competent body, the rest of the terms and conditions will not be affected.
12. Governing Law
12.1 The contract between you and UCC under which you have made your purchases shall be construed in accordance with the law of England and Wales and both you and UCC submit to the non-exclusive jurisdiction of the Courts of England and Wales. This does not affect your statutory rights.
